1. Agreement
- Placing an order (verbal or written) constitutes acceptance of these Terms. No variation is binding unless agreed in writing by a Ryker Electrical Director.
2. Prices & Payment
- Prices are exclusive of VAT, which will be added at the prevailing rate.
- Payment Terms: Strictly net 30 days from invoice date.
- Late Payment: Overdue accounts will incur interest at 2% per month, compounded. All recovery costs will be charged to the Customer.
- If the Customer’s creditworthiness is in doubt, all outstanding amounts become due immediately.
3. Delivery & Acceptance
- Delivery dates are estimates only. We are not liable for delays.
- You must check all deliveries. Notify us in writing of any shortages or damages within 5 working days of delivery.
- Damaged goods must be returned within 14 days of notification in their original packaging.
- We may deliver and invoice for orders in part.
4. Title, Risk & Ownership
- Risk passes to you on delivery.
- Ownership (Title) of the goods remains with Ryker Electrical until we have received payment in full for all goods supplied to you under any contract.
5. Warranty & Liability
- We warrant goods to be of merchantable quality and free from material defects.
- Our sole liability for valid claims is limited, at our discretion, to replacement, repair, or credit for the defective items.
- We are not liable for any consequential or indirect loss (e.g., lost profit, down-time).
- We are not liable for delays or failures caused by events beyond our reasonable control (e.g., strikes, war, supply chain failure).
- Product specifications, designs, and availability are subject to change.
6. Cancellations & Returns
- Cancellation by You: We may charge the full order value if you cancel after acceptance.
- Returns for Credit: Goods in original, resalable condition may be returned within 30 days with a valid invoice, subject to a 25% restocking/handling charge at our discretion.
- Non-Returnable Items: Cut cable, mercury tubes/lamps, and specially ordered items cannot be returned.
7. General
- We reserve the right to suspend deliveries or terminate the agreement if you breach these terms.
- These Terms are governed by the laws of England and Wales.
